Job Description

State Street Investment Management (SSIM) is seeking a Client Contracting Analyst to provide execution and support across North America client contracting activities. This role is responsible for supporting the end-to-end coordination and delivery of contracting processes for institutional clients, including traditional Investment Management mandates and Transition Management engagements.

This role requires a combination of contract analyst and paralegal capabilities, with a focus on reviewing, interpreting, and managing complex client agreements, ensuring alignment with legal, regulatory, and business requirements.

Building on the established scope of the Client Contracting function, this position places increased emphasis on front-to-back contracting execution, product-specific documentation, and support for time-sensitive Transition Management events, where speed, accuracy, and risk oversight are critical to successful delivery.

Organizational Context

The Client Contracting Analyst sits within State Street Investment Management’s Client Coverage Group and partners closely with Distribution, Relationship Management, Transition Management, Legal, Compliance, Risk, Operations, and technology partners.

The role supports the execution of North America contracting processes aligned to global standards, while adapting to regional regulatory frameworks, client requirements, and product structures, including equity, fixed income, and Transition Management mandates.

Key Responsibilities

Client Contracting Execution & Lifecycle Management

  • Coordinate and execute end-to-end client contracting processes across all agreement types, including IMAs, guidelines, amendments, and Transition Management agreements

  • Manage contract lifecycle milestones to ensure alignment with onboarding timelines and time-critical Transition Management events

  • Ensure timely production, review, approval, execution, and archival of all contractual documentation

Transition Management Contracting Support

  • Support contracting for Transition Management engagements, including expedited agreement preparation, review coordination, and execution readiness

  • Ensure documentation accurately reflects trade execution requirements, fiduciary responsibilities, and client-specific mandates

  • Work closely with Transition Management teams, Legal, and Operations to ensure contractual readiness aligns with event-driven timelines

  • Assist in managing risk considerations unique to Transition Management, including short timelines, high-value trades, and operational dependencies

Contract Analysis & Legal Documentation Support

  • Perform first-level contract analysis, identifying key legal and commercial provisions, deviations from standard templates, and risk considerations

  • Apply paralegal best practices in contract review, clause interpretation, documentation accuracy, and version control

  • Support Legal teams by consolidating negotiation comments, tracking changes, and ensuring proper incorporation of approved terms

  • Escalate non-standard provisions, regulatory considerations, and material risks appropriately

Risk, Governance & Control

  • Ensure all contracting activities adhere to defined workflows, approval processes, and internal control frameworks

  • Maintain audit-ready documentation and support compliance with internal policies and regulatory expectations

  • Identify potential risks or process gaps and escalate in line with governance standards

Stakeholder & Client Support

  • Act as a central coordination point between Client Coverage, Transition Management, Legal, Compliance, and Operations

  • Build strong working relationships across all stakeholders to facilitate seamless contracting execution

  • Support Client Relationship Managers and Transition Management teams by ensuring documentation accuracy, completeness, and readiness

Continuous Improvement & Process Optimization

  • Contribute to enhancements in contracting templates, clause libraries, and workflow tools

  • Identify opportunities to improve efficiency, particularly for high-velocity Transition Management contracting scenarios

  • Support broader transformation initiatives focused on automation, scalability, and digital contracting solutions

Skills & Capabilities

  • Demonstrated experience in contract management, contract analysis, or paralegal/legal support functions

  • Strong understanding of contractual frameworks, legal documentation, and risk considerations within investment management agreements

  • Familiarity with Transition Management or event-driven trading environments is highly desirable

  • Ability to perform detailed contract review, interpret legal language, and manage complex documentation

  • Strong stakeholder management skills, particularly in fast-paced, cross-functional environments

  • High attention to detail with strong organizational and document control discipline

  • Strong risk awareness and ability to identify, assess, and escalate issues effectively

  • Excellent written and verbal communication skills across North America stakeholders

  • Ability to manage multiple deadlines, including time-sensitive contracting tied to market events

Education & Experience Requirements

  • Bachelor’s degree required; legal studies, business, or related field preferred

  • 8+ years of experience in financial services, investment management, legal, or contracting roles

  • Experience supporting institutional client onboarding and contracting processes strongly preferred

  • Exposure to legal documentation review, contract drafting required

  • Experience supporting Transition Management or capital markets-related activities is a plus

Salary Range:

$80,000 - $140,000 Annual

The range quoted above applies to the role in the primary location specified. If the candidate would ultimately work outside of the primary location above, the applicable range could differ.
