Purpose of the role:
This role is to assist the Company Secretary on the corporate governance function and supporting the board.
What you will be doing:
Advise on all corporate governance and board secretarial matters for entities within the Bank Group.
Organize and facilitate Board and Board Committees meetings of the Bank Group.
Ensure the Bank Group complies with corporate governance requirements of the regulators and relevant laws.
Draft company secretarial documents such as meeting agendas, minutes, and resolutions.
Responsible for the preparation and publication together with Finance Division, of annual / interim reports and other regulatory reporting relevant to COS.
Facilitate the maintenance of corporate records are properly managed and filed and submission of company secretary related documents for the Bank and its subsidiaries.
Provide support to individual directors on administrative, support and training matters.
Act as main contact point for corporate updates and internal reporting.
To collaborate with other departments to ensure compliance with corporate governance requirements.
To functionally work with the legal and corporate secretariat teams/ functions of China and Macau.
Perform ad-hoc duties as assigned
What are we looking for:
A degree in Law, Business Administration, or a related field
Associate member of HKCGI or ICSA
A minimum of 5 years' company secretarial experience
Familiar with the Companies Ordinance
Knowledge in Banking Ordinance, SGX and MAS compliance requirement is an advantage
Strong awareness of both external and internal best practice perspectives
Demonstrate leadership and project management skills
Strong interpersonal and communication skills
Proficiency in spoken and written English and Chinese (including Mandarin)
