Key responsibilities and role requirements include:

  • Assisting on leading complex multi-jurisdictional cross-border M&A transactions

  • Supports in various aspects of transaction preparation, including conducting legal research, drafting filings, and other related documents such as term sheets and purchase agreements

  • Assists in developing transactions strategies by analyzing legal issues and contributing to strategy discussions with senior lawyers

  • Coordinating the various groups working on a project and ensuring that they are all on schedule, understanding and disseminating transactional information

  • Liaising with clients and stakeholders

  • Working with local counsels in local and overseas jurisdictions

  • Drafting and reviewing legal and technical documentation

  • May co-ordinate work of more junior members of the team

  • Helps coach and develop more junior lawyers

  • Admission in Japan

  • PQE 4 - 8

  • Experience in Corporate M&A transactions (private and public M&A)

  • Fluency in Japanese and English is required

  • Experience in a Japanese firm or international firm required

  • Strong time management skills, ability to stay calm under pressure when working across multiple projects and transactions

  • Client service focus and commercial awareness

  • Team player
