Job Description
It is an exciting time to join Scyne. We are currently seeking a highly skilled Company Secretary. In this key role you will play a pivotal role in Scyne's governance structure, leading the full spectrum of company secretarial matters. You will be responsible for supporting our Board, senior management, and key stakeholders, ensuring robust compliance and best-in-class corporate governance across Scyne Advisory Holdings and its subsidiaries. This includes providing essential secretarial support and governance advice to our Board, its Committees (Audit & Risk, People & Culture, Cyber Security & Technology, and Probity, Conflicts & Ethics), and all relevant functional leads.
Drive Board and Committee Governance:
- Prepare annual meeting calendars and expertly organise, attend, and minute Board and Committee meetings.
- Collaborate with Chairs and functional leads to develop comprehensive agendas, collating and distributing meeting papers efficiently.
- Maintain precise action lists and monitor compliance with ASX Corporate Governance Principles, Recommendations, and Charters.
- Advise the Board and management on corporate governance laws, practices, and necessary changes, acting as a crucial conduit for information flow.
Ensure Corporate Compliance & Administration:
- Maintain statutory registers and records with meticulous accuracy and prepare and lodge all required ASIC filings.
- Convene and prepare documentation for subsidiary board meetings, ensuring adherence to ASIC Corporations (Wholly-owned Companies) Instrument 2016/785.
- Support the preparation of annual reports, upholding standards of accuracy and compliance.
Manage Employee Equity Plans:
- Administer employee share and option plans, including preparing and dispatching offer documents.
- Maintain accurate registers of beneficial interests and options, and manage the buy-back of leavers' employee shares, liaising with nominee holders.
About You
- Formal qualification from the Governance Institute of Australia. Qualification in law desirable but not essential.
- Minimum 3-5 years company secretarial experience, preferable with a mid-cap ASX listed company.
- Proven ability to interpret and understand relevant provisions of the Corporations Act and ASX Corporate Governance Principles as required.
- Strong knowledge of applied corporate law, corporate accountability, and corporate governance.
- Exceptional accuracy and attention to detail, especially for board papers, resolutions, and disclosures.
- Proven ability to organise and prioritise work independently and deliver to tight deadlines.
- A high degree of diplomacy and discretion, and ability to maintain confidentiality.
- Highly effective communicator (both written and verbal) with proven ability to effectively communicate and consult on complex issues, solutions, and influence across a range of stakeholder groups.
