Responsibilities

 

The Corporate Governance and Board Operations Manager provides high-trust operational support to Eastman’s Corporate Secretary and broader Corporate team by leading the planning and execution of Board of Directors and committee meetings, shareholder and governance-related events and selected enterprise-level corporate activities. The role combines executive-level event execution, governance administration, subsidiary and records support, recurring compliance coordination, and disciplined vendor and budget management. This position is designed to create year-round value by pairing high-visibility meeting ownership with recurring corporate processes that require precision, discretion, strong judgment and the ability to perform under tight deadlines.

 

Responsibilities

 

Board, Committee, and Shareholder Meeting Execution

  • Lead end-to-end planning and flawless execution for Board of Directors meetings, committee meetings, offsites, shareholder engagement roadshows, the annual meeting, and other special governance events.
  • Coordinate calendars, timelines, agendas, logistics, travel, venue selection, catering, AV and IT support, security, on-site execution, and post-event follow-up.
  • Partner closely with directors, executives, internal business partners, Eastman Aviation, and external vendors to ensure each meeting is timely, well-prepared, cost-conscious, and executed with an exceptional level of professionalism.

 

Corporate Governance and Entity Management

  • Support the Corporate Secretary function through preparation, assembly, review coordination, secure handling, and retention of board, committee, and subsidiary materials and records.
  • Assist with the formation, maintenance, and documentation of Eastman Chemical Company subsidiaries, maintain data integrity in the global entity management system, and help ensure governance records are accurate, complete, and handled in accordance with confidentiality and recordkeeping expectations.

 

Corporate Operations and Compliance Support

  • Support recurring corporate processes that strengthen governance and business continuity, including related-party transaction cycles, conflict minerals reporting support, CAGE registrations and other periodic compliance or certification activities assigned to the Corporate team

 

Vendor, Budget, and Process Management

  • Manage meeting and event administration costs to budget, identify cost-saving opportunities, track invoices and spend, and help maintain strong vendor performance
  • Continuously improve meeting and governance support processes by using technology, standard work, and lessons learned to improve efficiency, reduce risk, and enhance the experience of directors, executives, and key stakeholders

 

Cross-Functional Executive Support

  • Provide structured operational support for selected enterprise leadership events and executive-facing initiatives that are adjacent to Corporate’s work, particularly when they involve senior leadership, sensitive coordination, external stakeholders, or complex logistics

 

Qualifications

 

Required Qualifications

  • Bachelor’s degree
  • Meaningful experience supporting executive-level meetings, high-profile events, governance operations, legal operations, executive office administration or a comparable corporate environment
  • Demonstrated ability to manage multiple priorities simultaneously, produce consistently accurate work under time pressure and handle highly confidential information with mature judgment and discretion
  • Strong written and verbal communication skills, strong attention to detail, and a proven record of organizing complex workstreams across senior stakeholders
  • Strong proficiency with Microsoft Office Suite, Outlook, Teams and standard collaboration tools 

 

Preferred Qualifications

  • Experience supporting Corporate Secretary, Legal, governance or executive office function
  • Experience with board portals, entity management systems or meeting management platforms
  • Prior work with subsidiary records, annual meeting execution, recurring compliance calendars, executive travel, enterprise events or vendor and budget management in a public-company environment 
  • Experience with virtual meeting technology, board portals or meeting-management tools such as Diligent, vendor and expense systems and records or entity-management platforms

  • The strongest candidates will combine project management discipline, customer-service orientation, proactive problem solving and excellent follow-through
  • Strong stakeholder management, the ability to anticipate needs before they become issues, comfort navigating ambiguity and a continuous-improvement mindset
  • Ability to work effectively within Eastman’s governance and records environment, including maintaining accurate information in GEMS and related systems
