Commercial Attorney
Summary
The Commercial Contracts Attorney serves as a strategic legal advisor to the business, providing counsel on complex commercial transactions, contract strategy, and risk management in support of the company’s growth and project execution objectives. This role partners cross-functionally with business leadership to deliver practical legal guidance that protects the organization while enabling sound commercial decision-making.
The ideal candidate will be a commercially pragmatic attorney with strong business judgment, capable of making sound decisions in fast-paced, high-pressure environments while effectively balancing legal risk with operational realities. They will be an agile, execution-oriented partner who communicates clearly with both leadership and departmental stakeholders, manages multiple priorities simultaneously, and remains composed during complex negotiations and project escalations.
Role Responsibilities:
Commercial Contracting & Risk Management
- Lead, draft, review, redline and negotiate contracts, including master service agreements (MSA’s), EPC agreements, LSTK (Lump Sum Turnkey) contracts, fabrication agreements, master service agreements, subcontracts, NDAs, licensing agreements, change orders and claims correspondence, and other commercial documents.
- Identify commercial, schedule, liability, indemnity, warranty, insurance, and payment risk.
- Support bid-stage contract review for proposals.
- Develop practical fallback positions and risk mitigation strategies with project realities.
- Assist in structuring flow-downs between owner contracts and subcontracts/vendor packages.
Project Execution Support
- Advise project teams during execution on contractual rights, notices, claims preservation, delay exposure, scope disputes, and change management.
- Assist operations and commercial teams in dispute de-escalation.
- Review and support negotiation of settlements, amendments, and commercial resolutions.
Cross-Functional Business Support
- Collaborate closely with internal stakeholder departments: Estimating, Procurement, Operations, Insurance/Risk Management and Executive Leadership.
- Support international commercial matters, specifically the Middle East or cross-border counterparties.
- Assist with compliance, corporate governance, licensing, and regulatory matters as needed.
Legal Operations
- Support compliance with federal, state, and local laws and regulations.
- Maintain and improve contract templates.
- Coordinate with outside counsel where specialized support is required.
Education and Experience:
- Juris Doctor (JD) degree from an accredited law school.
- Active bar membership in good standing in Texas.
- Minimum of 5-7 years of experience practicing commercial law, preferably with experience in Industrial EPC, construction, manufacturing/fabrication, or large industrial projects.
- Strong background in reviewing and negotiating sophisticated commercial agreements.
- Exceptional analytical and critical thinking skills.
- Excellent written and verbal communication abilities.
- Strong organizational skills and ability to manage multiple priorities in a deadline-driven project environment.
- Proficient in legal research and document drafting.
- Proficient in Microsoft 365 (Word, Excel, PPT)
Physical Requirements:
- Ability to reach, stand, walk, use fingers, grasp, feel, talk, hear, see, and perform repetitive motions.
- Sedentary work: Exerting up to 10 lbs. of force occasionally and/or a negligible amount of force frequently or constantly lift, carry, push, pull or otherwise move objects, including the human body. Sedentary work involves sitting most of the time.
- Ability to reach with hands or arms, stand, walk, use hands or fingers, grip, grasp, feel, talk, hear, see, climb, or balance, stoop, kneel, crouch, and crawl and perform repetitive motions.
- Ability to sit at a desk and operate a computer for extended periods of time.
- The ability to lift and carry 15 lbs. on a regular basis is required and at times lifting up to 25 lbs. may be required.
