Job Purpose / Mục tiêu vị trí
To act as a trusted legal business partner to Distribution (Agency and Partnership) by providing timely, practical and solution-oriented legal advice on day-to-day operations and strategic initiatives, while supporting contract governance and ensuring alignment with applicable laws and the Company’s internal policies.
Đóng vai trò đối tác tư vấn pháp lý tin cậy cho các bộ phận Phân phối (Đại lý, Đối tác), thông qua việc cung cấp tư vấn pháp lý kịp thời, mang tính thực tiễn và định hướng giải pháp cho hoạt động hàng ngày và các sáng kiến chiến lược, đồng thời hỗ trợ quản trị hợp đồng và đảm bảo tuân thủ quy định pháp luật và chính sách nội bộ của Công ty.
To provide legal support to other divisions/departments to prevent risks for the Company and/or to protect the company before possible losses, to facilitate smoothness of the Company’s business operation by giving correct interpretation on applicable laws/regulations and advice for the rightness of Company’s operation orientation.
Hỗ trợ pháp lý cho các bộ phận/phòng ban khác để phòng ngừa các rủi ro cho Công ty và/hoặc bảo vệ Công ty trước những tổn hại có thể xảy ra, tạo điều kiện cho các hoạt động kinh doanh của Công ty diễn ra thông suốt thông qua việc giải thích đúng đắn các luật/quy định pháp luật hiện hành và đưa ra các tư vấn cho định hướng hoạt động đúng đắn của Công ty.

Distribution Legal Partner/ Đối tác pháp lý của các bộ phận Phân phối

 

Provide legal advice on distribution models and channel strategies (Agency, Partnership, etc.). Draft, review and negotiate distribution agreements, agency contracts and related documents (e.g., bancassurance, agency agreements). Handle Business-As-Ussual (BAU) legal matters for distribution activities, including: review of internal policies, sales practices and operational processes, support in handling regulatory queries, day-to-day advisory to business teams to resolve operational issues.

Tư vấn pháp lý liên quan đến các hoạt động và chiến lược của các kênh phân phối (như là kênh Đại lý và kênh Đối tác. Soạn thảo, rà soát và đàm phán các hợp đồng phân phối, hợp đồng đại lý, và các văn bản liên quan (ví dụ: hợp đồng bancassurance, hợp đồng đại lý). Thực hiện các công việc pháp lý thông thường cho các hoạt động phân phối, bao gồm: rà soát chính sách nội bộ, hoạt động bán hàng và quy trình vận hành; hỗ trợ giải đáp các quy định pháp luật; và cung cấp tư vấn thường xuyên cho các bộ phận kinh doanh nhằm giải quyết các vấn đề phát sinh trong quá trình vận hành.

Contract Review & Advisory/ Rà soát và tư vấn về hợp đồng

 

Draft, review and negotiate commercial contracts. Provide end-to-end legal support for contracting process, including structuring, implemetation and negotiation strategy. Ensure contracts are aligned with applicable laws and regulations, internal approval matrix and corporate policies, business objectives and the Company’s interest. Produce and regularly update standardized legal agreements, contracts and standard terms and conditions for the PVA in compliance with international best practices and applicable legal requirements. Assist the business in launching new products and conducts legal and regulatory due diligence on such products. Provide day-to-day legal advisory on contract interpretation, implementation and dispute mitigation.

Soạn thảo, rà soát và đàm phán các hợp đồng thương mại của công ty. Cung cấp hỗ trợ pháp lý xuyên suốt trong quá trình ký kết hợp đồng, bao gồm cấu trúc giao dịch, thực hiện hợp đồng và chiến lược đàm phán. Đảm bảo các hợp đồng tuân thủ quy định pháp luật hiện hành, quy trình phê duyệt nội bộ và chính sách công ty, phản ánh đúng mục tiêu kinh doanh, và bảo vệ quyền lợi của Công ty. Xây dựng và thường xuyên cập nhật các thỏa thuận pháp lý, hợp đồng và các điều khoản và điều kiện đã được chuẩn hóa nhằm bảo đảm sự tuân thủ của PVA đối với các thông lệ quốc tế tốt nhất và các yêu cầu pháp lý hiện hành. Cung cấp tư vấn pháp lý thường xuyên liên quan đến việc giải thích, triển khai thực hiện hợp đồng và hạn chế tranh chấp.

 

Legal Advisory/ Tư vấn pháp lý

Provide legal advice and support to the business while keeping in mind the PVA’s strategic and business objectives. Provide direction and guidance to facilitate PVA’s compliance with all applicable international and domestic laws, rules and regulations. Collaborate with the Senior Legal Manager/Head of Legal to establish, disseminate and implement PVA’s legal policies. Complete legal tasks and projects in a timely manner and respond to legal queries assigned by the Senior Legal Counsel/Head of Legal.

Đưa ra các tư vấn pháp lý và hỗ trợ cho hoạt động kinh doanh trong khi cân nhắc các mục tiêu chiến lược và kinh doanh của PVA. Cung cấp các hướng dẫn và định hướng để PVA tuân thủ tất cả các luật, quy tắc và quy định hiện hành trong nước và quốc tế. Phối hợp với Cố vấn pháp lý Cấp cao/Giám đốc Pháp lý xây dựng, phổ biến và thực hiện các chính sách pháp luật của PVA. Hoàn thành kịp thời các công việc, dự án pháp lý và giải đáp các vấn đề pháp lý do Cố vấn pháp lý Cấp cao/Giám đốc Pháp lý giao phụ trách.
 

Knowledge of External Environment / Cập nhật kiến thức về môi trường pháp lý

Stay abreast of new laws and regulations through continuous legal education, attend professional conferences, and participate in professional associations. Provide updates to PVA’s Management on new legislation and regulatory developments that may have an impact on PVA and advise on how to comply with such new legislation and regulations.

Cập nhật các luật và quy định pháp luật mới thông qua việc chia sẻ kiến thức pháp luật, tham dự các hội thảo chuyên môn và tham gia các hiệp hội nghề nghiệp. Cập nhật cho Ban lãnh đạo PVA về quy trình xây dựng các quy định pháp luật và tuân thủ mới có thể tác động đến PVA và tư vấn về cách tuân thủ các luật và quy định mới đó.

Knowledge Sharing / Chia sẻ kiến thức

Work closely and develops a positive professional relationship with the other members of the legal function and shares legal knowledge and best practices with legal colleagues, including providing formal and informal training sessions at the direction of the Senior Legal Manager/Head of Legal.

Làm việc chặt chẽ và phát triển mối quan hệ đồng nghiệp tích cực với các thành viên khác trong bộ phận pháp lý và chia sẻ kiến thức pháp lý và thực tiễn tốt nhất với các đồng nghiệp trong bộ phận pháp lý, bao gồm cả việc thực hiện các buổi đào tạo chính thức và không chính thức theo chỉ đạo của Cố vấn pháp lý Cấp cao/Giám đốc Pháp lý.

Stakeholder Management / Phối hợp với các bên liên quan

Liaise with external law firms and relevant authorities (such as courts/prosecutor's office) to ensure the effective resolution of all legal matters affecting PVA.

Liên hệ với các công ty luật và các cơ quan có liên quan (như tòa án/VKS) để đảm bảo giải quyết hiệu quả tất cả các vấn đề pháp lý ảnh hưởng đến PVA.

Job Requirements / Yêu cầu

• Bachelor’s degree in Law or above; qualified lawyer (Vietnam Bar admission preferred)

Tốt nghiệp Cử nhân Luật trở lên; có chứng chỉ hành nghề luật sư (ưu tiên)

• 5–7 years of relevant experience as in-house counsel or at a law firm, preferably in insurance, bancassurance, banking or financial services

Có 5–7 năm kinh nghiệm pháp lý liên quan tại doanh nghiệp hoặc hãng luật, ưu tiên trong lĩnh vực bảo hiểm, bancassurance, ngân hàng hoặc dịch vụ tài chính

• Strong experience in commercial contract drafting, review and negotiation

Có kinh nghiệm vững trong soạn thảo, rà soát và đàm phán hợp đồng thương mại

• Practical exposure to distribution channels (Agency, Bancassurance, Partnerships) is highly preferred

Có trải nghiệm thực tế với kênh phân phối (Đại lý, Bancassurance, Đối tác) là lợi thế

• Good understanding of Vietnamese insurance regulations, corporate and commercial law

Am hiểu pháp luật bảo hiểm Việt Nam, pháp luật doanh nghiệp và thương mại

• Strong command of English and Vietnamese, both written and spoken

• Good communication and interpersonal skills, with ability to work effectively across functions
