Job Description
U.S. Bancorp is seeking a senior paralegal to join its in-house legal team to support U.S. Bancorp Asset Management (USBAM), an investment adviser registered with the Securities and Exchange Commission. The Senior Paralegal performs a crucial role within the USBAM legal team. This position is responsible for coordinating and assisting with legal review or preparation of client, operational, investment-related and service provider agreements, organizational documents and regulatory filings for pooled investment vehicles and the adviser, and investment company board meeting materials. The position is also responsible for other corporate entity maintenance, including drafting of corporate resolutions, minutes and correspondence, performing various research projects, maintaining records, and responding to internal and external requests for information.
Essential Functions
- Provide an initial draft and/or review of agreements, regulatory filings and corporate records. Identify potential legal and regulatory considerations and consult with USBAM and other U.S. Bank attorneys, as appropriate. Assist in negotiating and managing comments received from all parties to completion of the agreement, filing or record.
- Assist the USBAM legal team with tracking progress on special projects and other ongoing legal team responsibilities. Provide periodic progress reports to team members, including upcoming deliverables.
- Maintain a strong understanding of investment company and investment adviser regulations and develop a comprehensive knowledge of USBAM’s internal compliance policies and procedures. Utilize this understanding to conduct an initial review of proposed and final regulations for attorney review.
- Efficiently navigate USBAM and U.S. Bank applications and databases to satisfy record retention requirements and provide easily accessible record retrieval. Work with team members to identify opportunities for workflow efficiencies using current and future tools, including the responsible use of artificial intelligence tools to support document review, summarization, and comparison.
- Contribute to fostering a positive and collaborative work environment that encourages collegiality and professional development among legal team members.
- Communicate and confer by video conferencing, phone and email with outside counsel and all levels of the USBAM organization and broader U.S. Bancorp enterprise. Working with USBAM attorneys, act in an advisory capacity to the business line and outside counsel.
Basic Qualifications
- Paralegal certification from an accredited program, or equivalent degree or experience
Preferred Skills/Experience
- Eight or more years of relevant experience within the financial services industry or in a law firm setting. Investment company and investment advisory experience is preferred but not required.
- Exceptional decision-making skills and judgment.
- Excellent organizational skills, with a genuine desire for organization and accuracy.
- Strong attention to detail, including completing processes and projects thoroughly, proofreading, and assembling materials with minimal errors.
- Work independently and take accountability for assigned responsibilities with little oversight.
- Be a team player, prioritize well, meet deadlines and handle multiple high-priority tasks concurrently.
- Excellent follow-through on projects with limited supervision and where input from a variety of parties is required.
- Be able to effectively communicate, both verbally and in writing, with all levels of the organization, investment company boards of trustees and outside counsel.
- Familiarity with basic concepts of the regulatory structure governing investment companies and investment advisers, and knowledge of corporate legal entity structure is a plus.
Location expectations
This role requires working from a U.S. Bank location three (3) or more days per week.

The salary range reflects figures based on the primary location, which is listed first. The actual range for the role may differ based on the location of the role.
