About the Role
The Corporate Paralegal plays a critical role in supporting Inland’s legal operations by managing corporate entities, maintaining compliance, and assisting with complex transactions across our investment platforms. This position partners closely with attorneys and external partners on high-impact legal matters, including acquisitions, financings, and dispositions.
Key Responsibilities
Corporate Governance & Records
Maintain minute books and corporate records for Inland’s investment entities
Track and manage annual reports through Corporate Entity Status Dockets
Ensure compliance with corporate governance and regulatory requirements
Entity Management
Coordinate formation, qualification, dissolution, and amendments for:
Corporations
Delaware statutory trusts (DSTs)
Qualified Opportunity Funds (QOFs)
Limited partnerships (LPs)
Limited liability companies (LLCs)
Manage foreign state qualifications and annual filings
Transaction Support
Assist attorneys with due diligence and documentation for:
Mergers & acquisitions
Financings
Dispositions
Prepare lender-specific LLC agreements and supporting documents
Obtain UCC and related searches
Document Preparation & Coordination
Draft officer certificates, resolutions, organizational documents, and operating agreements
Coordinate document distribution to lenders’ counsel, outside counsel, and title companies for closings
Vendor & Stakeholder Management
Serve as the primary liaison with CT Corporation (registered agent)
Collaborate with internal legal teams and external counsel
Qualifications
Bachelor’s degree and a Paralegal Certificate required
3–7+ years of corporate paralegal experience, ideally in real estate, private equity, or financial services
Strong knowledge of entity management and corporate governance across multiple jurisdictions
Experience supporting complex transactions (M&A, financings)
Highly detail-oriented with strong organizational and project management skills
Proficiency with corporate record management systems and Microsoft Office
