Job Description:

The Opportunity

Lattice Semiconductor is seeking a Legal Director to lead the company's compliance function and oversee commercial transactions related to an assigned business unit. This role will have broad responsibility across export compliance, global data privacy, ethics and investigations, and other compliance related activity. In addition, as commercial transactions counsel, you will have responsibility to manage all aspects of commercial contracts at Lattice for your assigned business unit and work with the Sales, Marketing, Research & Development, and Global Operations functions and your legal colleagues to create, negotiate, and finalize various commercial agreements. This position requires exceptional time management skills, strong attention to detail, outstanding verbal and written communication skills, and the ability to nurture positive long-term relationships with internal clients, customers, and vendors.

 

What You Will Do

Commercial Transactions

  • Leading the drafting, reviewing, and negotiating of commercial agreements (including software licenses, sales, distribution, partnership, supply, subcontracting, agency, and confidentiality agreements) in accordance with company policies, guidelines, internal policies and risk tolerance;
  • Managing contract negotiations in accordance with strategies defined with relevant functions and legal;
  • Collaborating with both internal business clients and our executive team to obtain internal approvals before concluding contracts;
  • Proactively counseling internal business teams based on a strong understanding of legal and regulatory frameworks and industry standards applicable to Lattice’s products and services (including those related to data privacy, cybersecurity, and export compliance)
  • Providing prompt legal advice and offer appropriate solutions to a wide range of complex commercial legal questions and requests from internal clients across functional groups;
  • Developing and implementing strategies for organizing contracts within a document management system;
  • Developing and implementing playbooks for various types of agreements;
  • Leading the commercial transactions legal practice, including the management and development of junior team members;
  • Understanding the company's business model and applying that knowledge to improve business processes for support, negotiation, approval, and execution of commercial contracts while minimizing risk factors with customers and vendors;
  • Utilize Lattice's CLM platform to manage contract workflows from intake through execution and renewal, maintain accurate contract records, and partner with Legal Operations to develop standard templates and playbooks that reduce cycle time across the organization; and
  • Contribute to other Legal team needs, goals, and initiatives as needed.

Compliance

  • Develop and implement a comprehensive compliance program aligned with industry standards and regulatory requirements; 
  • Lead compliance training for employees to ensure awareness of regulations and ethical standards;
  • Conduct internal reviews to verify adherence to compliance policies and identify risks;
  • Investigate compliance issues and recommend corrective actions to prevent recurrence;
  • Monitor regulatory changes and update policies accordingly;
  • Collaborate with operational teams to integrate compliance into business processes;
  • Prepare and present compliance reports to senior management and regulatory bodies as needed; and
  • Oversee third-party compliance (e.g., vendors, partners) and ensure audit readiness

 

What You Bring

·         JD or equivalent law degree and admission to at least one U.S. state bar.

·         12 or more years of experience in compliance and/or commercial transactions at a law firm and/or as in-house counsel at a multinational technology or semiconductor company.

·         Expertise in U.S. export controls (EAR/ITAR), denied-party screening, and licensing, with direct experience in semiconductor, electronics, software, or dual-use technology environments.

·         Meaningful experience with global privacy law, including GDPR, CCPA, and data transfer mechanisms. ISO 27001 experience is a strong plus.

·         Familiarity with anti-corruption frameworks (FCPA, UK Bribery Act) and third-party risk management.

·         Experience operating in a multi-jurisdictional environment with particular exposure to Asia-Pacific (Taiwan, India, China, Korea) and EMEA (Germany) is strongly preferred.

·         Strong program-building skills

·         Prior experience in the development and implementation of negotiating technology contracts for a multinational corporation preferred

·         Strong presentation and communication skills - clear communicator with a good ability to communicate complex issues in a clear and simple manner in both writing and in person

·         Excellent organizational, project management and interpersonal skills; ability to effectively work in teams, across functions, and with customers and vendors

·         Possess technical excellence and a professional, commercial approach to problem solving

·         Ability to perform in a fast-paced environment and handle multiple assignments and prioritize

·         Excellent communication skills; ability to translate complex regulatory requirements into clear, practical guidance for business leaders and employees at all levels.

·         Collaborative, low-ego work style; comfortable operating in a fast-moving, post-acquisition environment.
