ROLE OUTLINE
• The Corporate Project Administrator is responsible for conducting research and assist in drafting contracts,
memoranda, and related documents. Support President and Senior Leadership team in managing
significant risks and projects – including legal claims/disputes.
• Perform fact gathering, document review, and background investigations in connection with company wide
project and issues or proceedings.
• Review, edit, and maintain various contracts and legal documents.
• Assist in updating policies, procedures, and internal documents.
• Organize and manage corporate governance materials and legal records for CPNA
• Prepare, track, and process invoices and billing matters.
• Manage legal calendar, deadlines, and task workflows.
• Attend project related meetings and external proceedings alongside President or VP Legal, providing
support as needed.
• Schedule meetings, handle confidential information, and maintain organized digital and physical legal files
• Organize corporate records and conduct due diligence reviews
• Review and analyze commercial/vendor contracts and agreements to flag key legal, commercial, and risk-
related terms
• Route, track and manage contract lifecycle and documentation in coordination with internal stakeholders
• Support internal counsel at all stages of employment and/or other dispute resolution

Foundational Experience
Educations, Certificates, Licenses, and Registrations
• Bachelor’s degree and a Juris Doctor (J.D.) from an accredited U.S. law school.
• 5+ years as an attorney or 10 years as a paralegal
