Supervisor - Company Secretariat (CoSec) and Domiciliation, Investor Services
Role Purpose
Join our company secretarial and domiciliation team within a regulated fund administration firm, ensuring client entities comply with all relevant Luxembourg legal and regulatory obligations, corporate governance standards, and best practices across a diverse portfolio of Luxembourg domiciled structures.
Key Responsibilities
- Assist with all company secretarial and domiciliation operations.
- Prepare for and participate in Board and Shareholder meetings, documenting, drafting and/or reviewing minutes while respecting turnaround timelines.
- Ensure all entities comply with laws, CSSF regulations, and fund governance requirements (filings, registers, statutory returns).
- Draft and review legal and corporate documentation, including resolutions, agreements.
- Assist clients and boards on legal, regulatory, and governance best practices.
- Stay current on all legislative and regulatory changes impacting Luxembourg fund administration.
- Support new fund launches, entity incorporations, reorganizations, and liquidations.
- Foster strong client relationships and represent the firm at industry events and regulatory meetings.
Qualifications & Experience
- University degree and/or professional qualification is an advantage
- ILA Company Secretary certification and/or similar qualifications highly desirable.
- Minimum 2 years’ experience in a company secretarial or corporate administration role servicing Luxembourg funds.
- Technical knowledge and hands-on exposure to regulated and unregulated structures.
- Experience liaising with the CSSF, LBR, legal advisors, auditors, and regulatory filings.
- Fluent English, written and verbal.
