Job Description

OVERVIEW

Reporting to the General Counsel, the Legal Contract Specialist is responsible for providing a full range of legal services and strategic legal guidance to business partners across the organization, to manage various procurement contracts and to support the Legal Office strategic priorities.


RESPONSIBILITIES

  • Maintains carriage of various files with oversight of the General Counsel.
  • Researches, identifies, and provides updates on case law, legislative requirements and legal trends affecting CM.
  • Helps identify legal issues, risks, and develops strategic to mitigate legal risks.
  • Consults with the General Counsel on all complex matters prior to giving advice to stakeholders.
  • Drafts and negotiates a variety procurement, supplier and vendor agreements and collaborates directly with various business clients.
  • Ability to breakdown complex concepts into easily understood language for internal and external stakeholders
  • Provides clear legal advice on issues, including contract negotiation, drafting, and review.
  • Maintains extensive knowledge of CM’s operations which allows for proactive advice to further CM’s Strategic Plan, and to protect CM’s legal and reputational interest.
  • Exercises excellent judgement and discretion in dealing with highly sensitive issues.
  • Keep up to date with laws or regulations impacting the business.
  • Collaborate with other members of the Legal office and business clients.
  • Perform other duties and assist on special projects as assigned by the General Counsel.


QUALIFICATIONS

Education

  • Bachelor’s degree in law (LLB), Juris Doctor (JD), or equivalent law degree is required with Canadian law firm and/or in-house experience.
  • Licensed to practice law in Ontario and must be a member in good standing of the Law Society of Ontario.


Experience

  • Minimum five (5) years of experience practicing law and providing legal advice to corporate


Knowledge/Competencies/Skills

  • Knowledge of legal issues and laws affecting not for profit organizations.
  • Solid negotiation and contract drafting skills involving RFPs, MSAs, SoWs, and various vendor/procurement contracts.
  • Strong critical thinking skills to understand complex fact patterns, identify legal issues and risks, and provide timely advice.
  • Demonstrated ability to work independently and resourcefully.
  • Proven ability as a strong communicator to deliver advice that is clear and practical, both orally and in writing.
  • Excellent organizational skills with the ability to manage multiple priorities in a fast-paced environment.
  • Ability to maintain confidentiality and treat sensitive information with discretion.
  • Intermediate computer skills in Microsoft Office Suite, procurement and contract management tools.


WORKING CONDITIONS

  • All CM employees work approximately 40 hours per week, remotely from a Canadian home office environment.


PAY TRANSPARENCY

Expected Compensation: 

  • An annual base salary in the range of $75,000 to $100,000
  • The salary range listed complies with the Ontario Employment Standards Act and reflects a potential base salary range for this role. The actual salary offered will be determined within the range, and will depend on factors, such as the candidate’s unique qualifications, relevant experience, work location and expected contributions.
