Department: Legal (Corporate/Private Real Estate)

Reports To: Senior Vice President/Associate General Counsel – Private Real Estate

FLSA Code: Non-Exempt

Estimated Salary: $95,000 - $100,000

 

Job Summary:

Provide support to attorneys advising the private real estate business of Cohen & Steers, Inc., a NYSE-listed global asset management company. This role will include exposure to many facets of the private real estate business, including corporate governance, private funds and other alternative investment structures, real property acquisitions and joint venture investments, sales and marketing, and the applicable federal securities rules and regulations. Primary responsibilities include assisting with private fund and entity formation and real estate investments, including joint ventures, implementation of policies and procedures involving private structures and related operational matters, corporate governance and board-level support, document and recordkeeping, reviewing and drafting documents, and related administrative matters, including filing and legal invoice management. Major Responsibilities/Activities:

  • Form and manage entities related to each fund and its investments; organize and maintain corporate record books for all fund entities
  • Assist with regulatory compliance matters for private funds and non‑traded REITs, including the drafting and review of SEC filings
  • Work with outside counsel and the private real estate team in organizing and progressing time-sensitive transactional documents and deliverables
  • Coordinate closing logistics for real estate transactions, including tracking execution copies, closing sets, and other closing and post‑closing items; maintain closing checklists for each transaction
  • Support partner onboarding by coordinating DDQs and third-party background checks; summarizing findings for investment committee materials
  • Coordinate responses to investor due diligence requests, support onboarding and prepare documentation for distribution platforms and participating dealers
  • Prepare and maintain transaction-specific and fund-wide structure charts, draft presentation materials for internal, board, and investor meetings
  • Prepare weekly agendas for legal and broader team meetings and coordinate across departments to solicit feedback
  • Coordinate scheduling of meetings with outside counsel and internal constituents; take detailed meeting notes summarizing action items and advice
  • Review NDAs in accordance with internal policies and coordinate with internal and external parties
  • Develop and maintain internal legal reference materials, resources, and centralized document repositories to support attorneys and team members
  • Review, track, and manage outside counsel and legal vendor invoices, including expense allocation and application of billing guidelines

 

Minimum Requirements: 

  • Bachelor's Degree
  • 2-5 years of law firm, in-house legal, or other relevant experience
  • Strong analytical, project management, communication, interpersonal and leadership skills
  • Responsive, proactive and able to work independently on routine projects and collaborate on complex matters as necessary
  • Focused and detail-oriented, with excellent oral, organizational, and writing skills
  • Ability to multi-task and prioritize workload to meet deadlines in a fast-paced, dynamic environment

  • Experience with Microsoft Office Suite (including PowerPoint and basics of Excel); and ability to learn new databases/programs quickly (e.g. Concur)

  • Agrees to comply with the firm’s hybrid work policy (“work from home policy,” as aligned with the Company’s employee handbook), which currently requires reporting to the Company’s New York City office four (4) days per week, with one (1) remote workday permitted.
