Job Description
Role Summary:
Ensure corporate compliance, governance, and legal adherence under the Companies Act and other applicable regulations. The role involves interaction with the Board of Directors and liaison between management, shareholders and regulatory authorities, supporting efficient corporate governance in accordance to the Companies Act and other applicable regulation. Supporting accounts and finance department with respect to reporting, credit and debtors management, banking, tax matters and adhoc reportings.
Key responsibilities and activities include, but is not limited to:
A. Compliance & Regulatory Management
- Ensure compliance with Companies Act, FEMA, and other applicable laws
- Manage timely filing of statutory returns and forms with MCA / ROC
- Supporting Company and Shareholders in opening and managing DMAT account
- Monitor changes in legislation and ensure compliance to the same and regular update of company policies.
- Ensure adherence to ethical standards, transparency, and accountability
B. Board and Shareholders Meeting
- Organize Board Meetings, General Meetings and Annual General Meetings (AGM)
- Prepare agenda, board notes, and circulate meeting documents
- Record and maintain minutes and resolutions as per legal requirements
C. Statutory Records & Documentation
- Maintain statutory registers, records, and company documents
- Draft resolutions, agreements, and corporate policies
- Ensure proper documentation for audits and inspections
D. Stakeholder & Regulatory Liaison
- Act as a link between Board, management, shareholders, and regulators
- Coordinate with auditors, legal advisors, and government authorities
- Handle shareholder communication, disclosures, reporting and support in managing DMAT account.
E. Secretarial Audit & Risk Management
- Support secretarial audits and compliance certifications
- Identify compliance risks and recommend corrective action
- Ensure implementation of secretarial standards and processes
F. Support in Accounts & Finance Task
- Support Accounts and Finance team in Financial Reporting and in matters of Statutory Audit and Tax compliance
- Support to sales team with respect to customer credit management & debtors management
- Support in managing banking matters.
Team Collaboration:
- Work with the finance team to improve financial processes.
- Assist with other accounting projects as needed.
Other Requirements:
Education: Company Secretary with minimum 5 years of post qualification experience.
Languages: English, Hindi, Marathi.
Other: Working experience in Manufacturing organisation
