Your role

We are seeking a Corporate Legal Analyst with deep expertise in legal entity management in a multinational company to join our global Legal team. This role will report to the U.S.-based Senior Corporate Counsel, Corporate & Securities and will manage Ciena’s international legal entity portfolio and support corporate governance activities across multiple jurisdictions.

This position offers the opportunity to work closely with U.S. and global stakeholders, manage external counsel and corporate service providers, and collaborate with cross-functional teams.

You will be responsible for leading our global legal entity function, including: coordinating the establishment and ongoing maintenance of Ciena’s global subsidiaries; collaborating with stakeholders globally; and developing tools and practices that drive process enhancement and cost efficiency. You will also support both the Senior Corporate Counsel and the broader global Legal team on a wide variety of other matters that are part of the work of an in-house Legal team.  

The right person for this role is dependable, organized, and has a strong orientation to process enhancement. Key responsibilities include:

  • Global Entity Maintenance and Corporate Governance
    • oversee the maintenance of 50+ corporate subsidiaries around the globe
    • manage and work closely with outside counsel and corporate service providers
    • prepare, file, and maintain records for subsidiaries and local branches (including resolutions, minutes, and powers of attorney)
    • coordinate the formation, dissolution, and restructuring of entities globally
    • ensure adherence to annual compliance requirements
    • coordinate board and shareholder actions
    • ensure accurate and audit-ready corporate records
  • Cross-Functional Collaboration
    • partner with Legal, Tax, Finance, Treasury, People & Culture, and Real Estate teams across regions
    • establish policies and procedures to proactively manage global entity needs (including formation, powers of attorney, relevant changes, tax, banking and insurance matters)
    • respond to internal inquiries regarding legal entity structure and governance
    • support global projects, including reorganizations, recapitalizations, and entity rationalizations
    • provide assistance and support on strategic transactions, including capital markets, lending, and acquisition activities, to other members of the Legal team
  • Tools, Data & Continuous Improvement
    • serve as administrator of Ciena’s entity management technology platform and propose design enhancements to improver user experience
    • identify and implement process improvements to entity management and governance processes
    • leverage technology and AI-enabled tools to streamline routine legal entity workflows
    • develop dashboards to enable stakeholder visibility and templates, playbooks and knowledge resources to enable self-service and scalability

As a member of the Legal team, your role will be critical in keeping our corporate entities in compliance and functioning smoothly. You will also liaise with external law firms, other members of the Legal team, and other stakeholders across the globe to ensure that Ciena’s global entities and related policies and practices are consistent, compliant with local laws, and in alignment with Ciena’s core values.    

What type of work environment will you be working within? Who are the key teams with whom you will interact?

You will work in collaboration with other members of the Ciena Legal organization and external lawyers.  You will also interact with a variety of other functions on a regular basis, including Tax, Treasury, Real Estate, People & Culture, and Finance. Ciena enjoys a casual and flexible work environment where the focus is on outcomes, not where or when you get them done. We operate on a hybrid model with 3 days per week in the office. This role will be based in our Buenos Aires office where we have a vibrant team of legal professionals.

You will be part of a global organization with employees located in 36+ countries, hence the need to be flexible, adaptable and able to work autonomously.

What technical experience and/or professional and personal skills are required for this role?

  • 3+ years of relevant experience in corporate legal, governance, or entity management
  • advanced English proficiency and excellent verbal and written communication skills (the role will require daily interaction with U.S. and global teams)
  • great organizational and time management skills with high attention to detail and the ability to work independently
  • ability to manage multiple priorities across jurisdictions and time zones
  • legal research experience
  • legal drafting experience (powers of attorney, policies, etc.)
  • project management experience
  • the ability to process and analyze data
  • experience supporting multinational organizations, law firms, or corporate service providers preferred

The pay range for this position, in Argentina, is $28,977,300.00 - $46,288,500.00 ARS
