Position Summary

Archetype Infrastructure Solutions is seeking an experienced Corporate Counsel to serve as the company's primary legal advisor supporting its Division 26 (Electrical), Division 27 (Communications), and Division 28 (Electronic Safety & Security) operations nationwide.

This role will partner closely with executive leadership to review and negotiate commercial contracts, advise on employment law, support construction and subcontracting operations, manage legal risk, oversee compliance, and help scale the organization as it expands across the United States.

The Corporate Counsel will be responsible for protecting the company while enabling efficient business operations and strategic growth.

 

Primary Responsibilities

Commercial Contracts

Review, draft, negotiate, and approve:

  • Master Service Agreements (MSAs)
  • Statements of Work (SOWs)
  • Subcontract Agreements
  • Prime Contractor Agreements
  • Customer Terms & Conditions
  • Vendor Agreements
  • Purchase Orders
  • Change Orders
  • Confidentiality Agreements (NDAs)
  • Staffing Agreements
  • Professional Services Agreements
  • Consulting Agreements

Review and negotiate:

  • Limitation of Liability
  • Indemnification
  • Warranty language
  • Payment terms
  • Insurance requirements
  • Liquidated damages
  • Schedule obligations
  • Termination clauses
  • Flow-down provisions
  • Confidentiality
  • Intellectual Property
  • Force Majeure

Construction & Infrastructure Legal Support

Provide legal guidance related to:

  • Division 26 Electrical projects
  • Division 27 Communications Infrastructure
  • Division 28 Security Systems
  • Data Center construction
  • Mission Critical facilities
  • Hyperscale projects
  • Government contracts (if applicable)


 

Support:

  • Subcontract administration
  • Claims avoidance
  • Contract disputes
  • Change order disputes
  • Delay claims
  • Payment disputes
  • Mechanic's lien issues
  • Licensing requirements
  • Multi-state contractor compliance
 

Employment Law

Advise executive leadership and HR regarding:

  • Hiring practices
  • Wage & Hour compliance
  • FLSA
  • EEOC
  • ADA
  • FMLA
  • OSHA
  • Background Checks
  • Drug Testing
  • Employment Agreements
  • Non-Competes (where enforceable)
  • Confidentiality Agreements
  • Internal investigations
  • Employee Relations
  • Terminations

Corporate Compliance

Ensure compliance with:

  • Federal employment laws
  • State employment laws
  • Contractor licensing
  • Construction regulations
  • OSHA
  • Client compliance requirements
  • Insurance obligations
  • Data privacy
  • Record retention
  • Corporate governance
 

Risk Management

Partner with Finance, HR, Operations, and Safety to:

  • Reduce legal exposure
  • Evaluate project risk
  • Review insurance language
  • Coordinate with insurance carriers
  • Manage litigation
  • Work with outside counsel
  • Oversee claims
  • Support EPL, General Liability, Professional Liability, Workers' Compensation, and Builder's Risk matters
 

Executive Support

Advise the CEO, COO, and executive leadership on:

  • Strategic growth
  • Acquisitions
  • New markets
  • Joint ventures
  • Partnerships
  • Business structure
  • Corporate governance
  • Major customer negotiations

Qualifications

Required

  • Juris Doctor (JD) from an accredited law school
  • Licensed to practice law in at least one U.S. jurisdiction
  • Ability to obtain or maintain Texas licensure if required
  • Minimum of seven (7) years of relevant legal experience
  • Extensive commercial contract negotiation experience
  • Strong knowledge of employment law
  • Excellent written and verbal communication skills
  • Exceptional analytical and negotiation abilities
