Job Description
The Corporate Legal Counsel is supporting the Corporate Legal function in a listed company environment, with a focus on corporate governance, listed company compliance, and corporate transactions, while progressively building autonomy and acting as a trusted legal advisor. Your mission As Corporate Legal Counsel, you will be part of the Corporate Legal team and contribute to ensuring high-quality legal support across the group, combining technical legal expertise with a pragmatic business-oriented approach. You will work closely with the Head of Corporate Legal and Corporate Secretary Office, legal counsels, and key stakeholders (Finance, Tax, IR,…) , while developing increasing ownership over files and projects. Key responsibilities 1. Corporate governance company secretary support Advise on Belgian European corporate law and governance matters Support the preparation of Board of Directors, Board Committees and Shareholders’ Meetings (legal review of documentation, resolutions, governance compliance). Review and draft minutes, resolutions and governance documentation. Contribute to the implementation and evolution of corporate governance frameworks (policies, charters, internal rules). Ensure legal consistency and robustness of governance documentation prepared by the team. 2. Listed company compliance regulatory matters: Support compliance with listed company obligations, including: - Market Abuse Regulation (MAR), - transparency and disclosure requirements, - governance reporting. Advise internal stakeholders on inside information handling, confidentiality, and disclosure obligations. Contribute to the drafting and updating of internal policies (e.g. dealing code, corporate governance charter). Monitor legal and regulatory developments and assess their impact on the company. 3. Subsidiaries governance corporate housekeeping (legal oversight) Supervise and provide legal guidance on over 80 subsidiaries corporate housekeeping across the world. Review complex corporate operations (e.g. capital increases, restructurings, changes in governance). Ensure legal consistency across jurisdictions and alignment with group standards. Support structuring decisions and intra-group reorganizations. 4. Corporate transactions strategic projects Support and progressively lead workstreams on: M A transactions, joint ventures, reorganizations, internal restructuring projects. Draft and review transaction documentation (NDAs, SPAs, shareholders’ agreements, etc.). Participate in due diligence processes and coordination with external counsel. Provide legal input on strategic business initiatives. 5. Legal advisory business partnering Act as a legal business partner for internal stakeholders (finance, strategy, HR, compliance). Provide clear, pragmatic and risk-based legal advice. Contribute to building legal awareness within the organization (guidance, trainings). 6. External stakeholders coordination Liaise with external law firms, notaries, auditors and regulatory authorities (FSMA, Euronext, Audit Court,…). Ensure quality control of external advice and alignment with internal strategy.
