Principal Duties & Responsibilities: 

  • Advising the Board Chairman, all Board Committee Chairmen, and the CEO on all Board related matters – providing strategic insights into board strategy especially on Board governance, composition, appointments, and management of shareholders.
  • Management of all company secretarial related matters and other relevant Prudential Group company from time to time.
  • Ensure compliance with all statutory and regulatory requirements as well as corporate governance guidelines.
  • Facilitating the administration of all shareholder actions including but not limited to corporate exercises and declaration and transmission of dividends.
  • Leading the conversation with all stakeholders within the company to ensure the appropriate level of engagement between management and the Board.
  • Coordinate and attend Board, Board Committee, Management Committee and Shareholders’ meetings and follow up on matters arising from the meetings.
  • Prepare and review resolutions, minutes of meetings, board papers, amongst others.
  • Assemble systems and processes, research and analysis of industry practices and procedures and setting checks and controls for timely and effective delivery of services.
  • Ensure proper maintenance of statutory books, administrative records and updating of register of members, directors, secretaries, charges, substantial shareholders.
  • Ensure a successful corporate governance framework through creation of policies or existing policies which are in alignment.
  • Any other duties/responsibilities as may be included from time to time.

Job Specification:   

  • ICSA qualification and a member of MAICSA.
  • Minimum 8 years working experience in corporate secretarial practice.
  • Sound knowledge of Companies Act 2016, Bank Negara Malaysia Guidelines and other relevant statutory and regulatory requirements.
  • Proficient in both written and spoken English, strong interpersonal skills, mature and of a pleasant disposition.
  • Experience in dealing with Board members.
  • Experience in dealing with regulatory authorities such as the Companies of Malaysia and Bank Negara is an added advantage.
  • Independent, results-oriented and a team player.
