The Senior Counsel will provide legal support to the Company’s Marketing and Midstream teams. This role will focus on a wide range of commercial agreements, including gas gathering, processing, and purchase agreements, as well as crude oil, condensate, transportation, and related midstream contracts. In addition to day-to-day legal support, this position will advise on broader commercial and transactional matters, including potential midstream joint ventures, royalty payment issues, and oil and gas M&A transactions involving marketing arrangements and midstream assets. Title and level will be commensurate with experience and qualifications.
Job Responsibilities:
Including but not limited to
- Provide legal support to the Marketing team on marketing and midstream operations
- Draft, review, and negotiate agreements related to the purchase, sale, and exchange of crude oil, natural gas, and condensate
- Support a wide range of commercial agreements, including:
- Gas gathering, processing, and purchase agreements
- Crude oil and condensate purchase agreements
- Transportation and buy/sell agreements
- Construction, dedication, and connection agreements
- Gas lift agreements and spot contracts
- Advise business units on transactional and commercial matters across marketing, midstream, and operations
- Provide legal guidance on midstream joint ventures, royalty matters, and oil and gas M&A transactions
- Deliver timely, practical legal counsel while balancing business objectives and risk
Required Qualifications:
- Juris Doctor (J.D.) from an accredited law school with strong academic credentials
- Active admission to a state bar, with ability to practice in-house in Texas
- Seven (7+) years of legal experience; prior in-house experience preferred
- Strong background in marketing and midstream oil & gas legal work, including drafting and negotiating complex agreements
- Experience advising on term and spot contracts and providing commercial legal guidance to oil & gas clients
- Highly organized with the ability to manage multiple priorities and deadlines
- Strong business acumen and ability to support infrastructure development and operations-related legal matters
- Excellent written and verbal communication skills, with strong analytical capabilities and attention to detail
