Deputy Governance Manager, UK & Lloyd’s is a role supporting the management committee structure of the two key regulated AXA XL companies in the UK, including a large Lloyd’s managing agency
The successful candidate will be responsible for supporting the efficient management of the UK entities, as well as advising senior management and other stakeholders on corporate governance processes and best practice
The role will have a first line report to the Governance Manager, UK & Lloyd’s, with a second line report to the Chief of Staff, CFO UK & Lloyd’s

To support the efficient and effective operation of the management committee level of the governance framework of AXA XL’s two key regulated insurance companies (AXA XL Underwriting Agencies (‘AXUAL’) and AXA XL Insurance Company UK Limited (AXICL UK’) in the UK, with a particular focus on supporting Finance governance reporting and associated committees
This role requires working closely with the Governance Manager and liaising with senior stakeholders with the following
: Committee governance Act as Committee Secretary for the following AXUAL and AXICL UK legal entities: Reinsurance Review Committee, Regulatory Reporting and Approvals Committee, and other committees as required from time to time; Assist in the implementation and embedding of the corporate governance framework, including: meeting coordination; agenda setting; annual planning; meeting sequencing; production of committee packs; tracking actions; facilitating reviews and approvals; and, preparing high‑quality minutes Support the effective operation of committees by ensuring efficient information flows and appropriate escalation of matters which arise through the governance framework as appropriate Monitor key business items and coordinate escalation through the management committee governance structure to the Board and its committees where required
Maintain core governance records, including terms of reference, committee membership, minutes, action logs, and escalation documentation across the executive committee governance framework
Contribute and support working groups to support oversight, delivery of required actions, and alignment with formal governance processes
Provide support to the Company Secretarial team on corporate governance matters and assist with ad‑hoc and special projects as needed
Finance governance and reporting Driving governance and project oversight for financial reporting related matters and processes within the UK & Lloyd’s Finance team’s responsibility, including preparing and maintaining project reporting documentation, action management, communicating progress, risks, implications, and escalation
Provide support to the UK & Lloyd’s Finance team in their delivery of financial reports for committees and other statutory and regulatory reporting (FCA, PRA, Lloyd’s)
What you’ll bring We’re looking for someone who has these abilities and skills: Background in corporate governance with proven experience as a governance professional or company secretary / part qualified company secretary preferred Knowledge of UK company law in general and particularly the Companies Act 2006 preferred Previous financial services sector experience preferred Proven minute writing skills, preferably gained within financial services
Interpersonal Communication: Excellent verbal and written communication and influencing skills
Ability to work in an international, multicultural environment
Ability to work independently and on own initiative whilst being part of a wider team
Ability to prioritise conflicting needs, progress matters expeditiously and follow through on projects to successful completion
A proactive approach to problem-solving with good decision-making capabilities
Prior experience of the Lloyd’s market desirable, but not essential
