
Corporate Counsel, Construction & Infrastructure
Job Description
Responsibilities:
Assist in drafting, reviewing, and negotiating agreements related to design, construction, and infrastructure development, including:
- Construction agreements
- Engineering, procurement, and construction (EPC) agreements
- Design and consultant agreements
- Owner’s representative, development, and other construction-related agreements
Assist in drafting, reviewing, and negotiating agreements related to power and energy procurement, including:
- Power purchase agreements (PPAs)
- Interconnection and transmission agreements
- Equipment supply and generation agreements
Draft, review, and negotiate commercial agreements, including:
- Vendor and supplier agreements
- Master services agreements
- Confidentiality agreements and letters of intent
Provide legal support for procurement and sourcing initiatives, including:
- RFP processes and contract awards
- Supplier onboarding and contract standardization
Advise internal stakeholders on:
- Risk allocation in construction and energy agreements
- Payment structures, performance obligations, and schedule risks
- Practical, business-oriented solutions to legal issues
Monitor and ensure compliance with agreements and support resolution of contract-related issues
Support development and maintenance of:
- Standard templates and forms
- Contracting playbooks and process improvements
Collaborate closely with internal business teams and external counsel to support ongoing projects and transactions
Qualifications:
4-8 years of experience in construction law or infrastructure projects (with energy law and/or commercial contracting as a plus)
Experience drafting and negotiating complex commercial agreements, preferably including EPC, design, or energy-related agreements
Experience supporting large-scale development or infrastructure projects preferred
Strong business judgment and ability to translate legal concepts into practical advice
Exceptional multi-tasking skills, with the ability to prioritize and manage multiple active projects
Ability to work independently and collaborate across cross-functional teams
Active member of a state bar
Education:
Juris Doctor (JD) degree from an accredited law school.
