Description
MAIN RESPONSIBILITIES
- Coordinating and ensuring corporate secretarial compliance for all Peninsula group entities globally, including statutory filings and internal governance requirements.
- Supporting the incorporation of new group entities in various jurisdictions and managing associated post incorporation compliance.
- Working closely with third party corporate service providers, law firms and internal stakeholders to ensure corporate requirements are completed accurately and on time.
- Liaising with Peninsula’s authorised signatories and relevant stakeholders to coordinate the execution of corporate documents, including resolutions, agreements and deeds.
- Coordinating the execution, certification, notarisation and apostilling of documents across multiple jurisdictions.
- Drafting and maintaining corporate documentation, including board resolutions, minutes and statutory registers, ensuring accuracy, consistency and quality.
- Coordinating the organisation and execution of Board meetings and AGMs, where required.
- Maintaining accurate and up to date electronic and physical corporate records, trackers and filing systems.
- Providing general legal and administrative support to the Legal team as required, including ad hoc corporate and compliance projects.
KNOWLEDGE, SKILLS AND EXPERIENCE
- Good working knowledge of company law and corporate governance, preferably under English law.
- Previous experience in a paralegal or corporate services role is desirable.
- Exposure to the shipping, commodities or energy sectors would be advantageous.
- Highly organised with strong attention to detail and the ability to manage multiple priorities across jurisdictions.
- Able to work effectively under time pressure and meet tight deadlines while maintaining high standards of accuracy.
- Commercially aware, with the ability to understand and balance legal, business and operational considerations.
- Strong written and verbal communication skills, with the ability to communicate clearly and professionally with internal and external stakeholders.
- A collaborative team player who builds strong working relationships across the business.
- Spanish language skills are desirable.
QUALIFICATIONS, ACCREDITATION - Law graduate (or equivalent) who has successfully completed, or is currently completing, the Legal Practice Course (LPC).
