In this role, you will provide best in class board and committee support across the group, ensuring meetings are well planned, papers and reports are high quality and decisions and actions are accurately recorded and followed through.

About the role

In this role you'll:

  • Manage the annual board and committee forward planner and meeting calendar, including scheduling and logistics across different time zones

  • Plan and run board and committee meeting processes end to end including interaction with chairs, production of agendas, timely issue of board packs and meeting attendance

  • Draft skeleton/agenda minutes before all meetings and update them clearly and accurately to capture decisions, key discussion and actions and circulate them promptly

  • Own the board portal (Board Intelligence) including pack building, publishing, access management and version control

  • Maintain constitutional documents, reserved matter lists, committee terms of reference and other core governance documents, ensuring they remain current

  • Maintain action trackers, chase action owners and provide clear status reporting

  • Plan and run board and committee effectiveness reviews end to end including survey drafting, logistics, analysing results and preparing and presenting effectiveness reports

  • Support meeting discipline on notice, quorum, approvals and delegations and escalate risks early

  • Co-ordinate board and committee support for annual governance lifecycle processes including audit, AGMs, share allocations and redemptions

  • Maintain and improve board and committee support templates, checklists and guidance to ensure smooth reporting by other internal functions

  • Support continuous improvement of board pack quality, structure, timetables and reporting, working with paper authors to meet expectations

  • Support with board and committee related queries from directors, senior management and the wider business

  • Review and comment the governance aspects of draft financial statements

  • Champion strong governance throughout the group by preparing and delivering training, clear guidance, and practical tools that make good governance easy to apply practically

About you

  • You will have demonstrable experience providing end to end support to boards and committees ideally gained from time spent in an in-house governance or secretariat function within a regulated financial services or listed environment

  • Full CGI qualification advantageous. If you are not yet fully qualified, we will fund and support you to complete the CGI Qualifying Programme

  • Legal experience or training (particularly in company law) is advantageous

  • Experience supporting boards and committees in a complex organisation with operations across multiple jurisdictions is advantageous

  • Working knowledge of Viewpoint, iManage, DocuSign and Board Intelligence or equivalent systems and platforms is helpful but we can provide training if required

  • Confident engaging with senior stakeholders independently and displays sound judgement, discretion and the ability to challenge appropriately

  • Strong attention to detail and accuracy skills with a completer-finisher mindset

  • Highly organised, proactive and diligent and able to manage a diverse and complex workload in a fast-paced working environment

  • Adaptable to Mourant's house style and drafting and record keeping conventions

  • Genuinely committed to Mourant's values and culture, contributes positively to team dynamics and builds strong, collaborative working relationships inside and outside the team

  • Proactively identifies opportunities for continuous improvement and process efficiency including through use of AI and technology

  • Curious, inquisitive and able to identify and investigate potential issues and solve them

  • Excellent verbal and written communication skills
